1. Acceptance of Terms

By accessing JP Carrier’s website, requesting a quote, booking a shipment, using our customer portal, or communicating with us for courier, delivery, logistics, warehousing, or transportation services, you agree to these Terms of Use.

If you do not agree with these Terms, you should not use our website, portal, or services.

2. Company Information

These Terms apply to services provided by JP Carrier and/or its related operating entities, employees, drivers, contractors, agents, and authorized service providers.

For legal documents, invoices, and contracts, JP Carrier may operate under its registered corporate name, trade name, or business name.

3. Services Provided

JP Carrier provides transportation and logistics services, including but not limited to:

  • Last-mile delivery
  • Courier delivery
  • Parcel delivery
  • Business-to-business delivery
  • Retail and e-commerce delivery
  • Route delivery
  • Linehaul and dedicated vehicle services
  • Warehousing, sorting, and related logistics services

Specific service details, pricing, delivery timelines, and service levels may be provided in a written quote, rate sheet, service agreement, statement of work, or customer contract.

4. Quotes and Pricing

All quotes are estimates unless stated otherwise in writing.

Pricing may be based on factors including:

  • Delivery location
  • Distance
  • Parcel count
  • Weight and size
  • Service level
  • Fuel surcharge
  • Waiting time
  • Re-delivery attempts
  • Special handling
  • After-hours service
  • Accessorial charges
  • Taxes

JP Carrier may adjust pricing if shipment details provided by the customer are inaccurate or incomplete.

5. Customer Responsibilities

The customer is responsible for providing accurate and complete shipment information, including:

  • Pickup address
  • Delivery address
  • Contact details
  • Parcel count
  • Weight and dimensions
  • Delivery instructions
  • Required delivery date or service level
  • Special handling requirements
  • Declared value, where applicable

The customer is responsible for ensuring that shipments are properly packaged, labelled, and ready for pickup.

JP Carrier is not responsible for delays, failed deliveries, damage, or loss caused by incorrect information, poor packaging, missing labels, unsafe goods, or unavailable recipients.

6. Pickup and Delivery

JP Carrier will make reasonable efforts to complete pickups and deliveries within the requested service window.

Unless expressly guaranteed in writing, pickup and delivery times are estimates only and are not guaranteed.

JP Carrier is not responsible for delays caused by circumstances outside its reasonable control, including but not limited to:

  • Weather
  • Road closures
  • Traffic
  • Accidents
  • Mechanical issues
  • Labour disruptions
  • Natural disasters
  • Government restrictions
  • Incorrect address information
  • Receiver unavailability
  • Security delays
  • Events beyond JP Carrier’s control

7. Proof of Delivery

Proof of delivery may include one or more of the following:

  • Signature
  • Photo proof
  • GPS location
  • Driver scan
  • Delivery timestamp
  • Receiver name
  • Electronic confirmation
  • System status update

The customer agrees that electronic proof of delivery is valid evidence of delivery.

8. Authority to Leave

Where the customer or receiver provides delivery instructions allowing a shipment to be left unattended, JP Carrier may leave the shipment at the requested location.

Once the shipment is left as instructed, JP Carrier is not responsible for theft, loss, weather damage, or third-party interference, unless caused directly by JP Carrier’s negligence.

9. Prohibited or Restricted Items

Customers must not tender prohibited, illegal, unsafe, or restricted goods without JP Carrier’s prior written approval.

Prohibited or restricted items may include:

  • Illegal goods
  • Dangerous goods or hazardous materials
  • Firearms or ammunition
  • Explosives
  • Drugs or controlled substances
  • Cash, coins, or negotiable instruments
  • Jewellery, precious metals, or high-value collectibles
  • Live animals
  • Human remains
  • Perishable goods, unless approved
  • Temperature-sensitive goods, unless approved
  • Medical specimens, unless approved
  • Fragile goods not properly packaged
  • Any item prohibited by law or regulation

JP Carrier may refuse, hold, return, dispose of, or report any shipment that appears unsafe, illegal, improperly packaged, or prohibited.

10. Dangerous Goods

Customers must not ship dangerous goods unless JP Carrier has agreed in writing and all legal requirements are met.

The customer is responsible for proper classification, packaging, labelling, documentation, and compliance with applicable laws.

The customer agrees to indemnify JP Carrier for any loss, fine, penalty, damage, claim, or expense caused by undeclared or improperly declared dangerous goods.

11. Packaging

The customer is responsible for packaging shipments in a way that protects the contents during normal transportation and handling.

JP Carrier is not responsible for damage caused by:

  • Weak packaging
  • Open boxes
  • Poor sealing
  • Insufficient cushioning
  • Leaking containers
  • Improper labelling
  • Fragile items not clearly marked
  • Items unsuitable for normal courier handling

12. Service Refusal

JP Carrier may refuse service at its discretion where:

  • The shipment is unsafe
  • The shipment is prohibited
  • Payment terms are not met
  • The shipment is improperly packaged
  • The customer has provided false or incomplete information
  • The delivery location is unsafe or inaccessible
  • The shipment may violate law or regulation
  • The customer has unpaid overdue invoices

13. Fees, Payment, and Invoices

Customers agree to pay all applicable charges, including:

  • Delivery charges
  • Fuel surcharge
  • Taxes
  • Waiting time
  • Re-delivery fees
  • Address correction fees
  • Storage fees
  • Return fees
  • Special handling fees
  • Cancellation fees
  • Other accessorial charges

Unless otherwise agreed in writing, invoices are due upon receipt or according to the payment terms stated on the invoice or customer agreement.

Late payments may be subject to interest at 1.5% per month / 18% per year, or the maximum amount allowed by law, whichever is lower.

JP Carrier may suspend services for overdue accounts.

14. Cancellations

A booking may be cancelled before dispatch without charge, unless otherwise agreed.

If a driver has already been dispatched, JP Carrier may charge a cancellation fee, dry-run fee, waiting fee, or other applicable charge.

15. Re-Delivery and Returns

If a delivery cannot be completed due to receiver unavailability, incorrect address, refusal, security restrictions, or other issues outside JP Carrier’s control, JP Carrier may charge for:

  • Re-delivery
  • Return to sender
  • Waiting time
  • Storage
  • Address correction
  • Additional handling

16. Loss or Damage Claims

Any claim for loss, damage, shortage, or service issue must be reported to JP Carrier as soon as possible.

Unless a written customer contract says otherwise, claims should be submitted within:

  • 48 hours for visible damage or shortage
  • 7 days for concealed damage
  • 30 days for lost shipments

Claims must include:

  • Tracking number or reference number
  • Shipment date
  • Pickup and delivery details
  • Description of goods
  • Photos of damage, if applicable
  • Invoice or proof of value
  • Packaging photos, if applicable
  • Any supporting documents

JP Carrier may deny claims that are late, incomplete, unsupported, or caused by improper packaging, incorrect shipment information, prohibited goods, or circumstances beyond JP Carrier’s control.

17. Limitation of Liability

Unless otherwise agreed in writing, JP Carrier’s liability for loss or damage is limited to the lesser of:

  • The actual proven value of the lost or damaged goods; or
  • CAD $100 per shipment; or
  • Any limit stated in the applicable quote, invoice, service agreement, bill of lading, or customer contract.

JP Carrier is not liable for indirect, special, incidental, punitive, or consequential damages, including but not limited to:

  • Lost profits
  • Lost sales
  • Business interruption
  • Loss of customer goodwill
  • Missed deadlines
  • Penalties charged by third parties
  • Loss caused by delay

Higher liability coverage may be available only if agreed in writing before shipment and any applicable fee is paid.

18. No Insurance Unless Agreed

JP Carrier is not an insurance company and does not automatically provide full cargo insurance.

Customers are responsible for arranging their own insurance for high-value, fragile, sensitive, or important shipments unless JP Carrier confirms additional coverage in writing.

19. Customer Indemnity

The customer agrees to defend, indemnify, and hold harmless JP Carrier from any claims, damages, fines, penalties, losses, costs, or expenses arising from:

  • Incorrect shipment information
  • Improper packaging
  • Prohibited goods
  • Dangerous goods
  • Violation of law
  • Receiver claims
  • Third-party claims
  • Customer negligence or misconduct
  • Breach of these Terms

20. Website Use

Users agree not to misuse JP Carrier’s website or systems.

You must not:

  • Attempt unauthorized access
  • Upload harmful code
  • Interfere with website operations
  • Copy website content without permission
  • Use the website for unlawful purposes
  • Submit false or misleading information
  • Scrape, reverse engineer, or abuse the website or portal

JP Carrier may restrict access to its website or portal at any time.

21. Intellectual Property

All website content, logos, names, graphics, text, service descriptions, designs, images, and materials are owned by JP Carrier or used with permission.

You may not copy, reproduce, distribute, modify, or use JP Carrier’s branding or content without written permission.

22. Privacy

JP Carrier may collect and use personal information to provide services, process orders, communicate with customers, complete deliveries, manage accounts, and comply with legal obligations.

Private-sector businesses in Canada that collect, use, or disclose personal information during commercial activity are generally subject to PIPEDA.

JP Carrier should maintain a separate Privacy Policy explaining how personal information is collected, used, stored, disclosed, and protected.

23. Electronic Communications

By submitting your contact information, requesting a quote, creating an account, or using JP Carrier’s services, you agree that JP Carrier may contact you by phone, email, text message, or other electronic means regarding quotes, bookings, deliveries, invoices, service updates, and business communications.

Canada’s Anti-Spam Legislation applies to commercial electronic messages and is intended to protect consumers and businesses from spam and electronic threats.

Marketing messages will be sent only where permitted by law, and users may unsubscribe from marketing communications where required.

24. Third-Party Links

JP Carrier’s website may contain links to third-party websites.

JP Carrier is not responsible for the content, privacy practices, accuracy, or security of third-party websites.

25. No Warranty

JP Carrier provides its website and online tools on an “as is” and “as available” basis.

JP Carrier does not guarantee that the website will always be available, error-free, secure, or uninterrupted.

26. Changes to Terms

JP Carrier may update these Terms at any time.

Updated Terms will be posted on the website with a new effective date.

Continued use of the website, portal, or services after changes are posted means you accept the updated Terms.

27. Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada.

Any dispute will be handled in Ontario, unless a written agreement between JP Carrier and the customer states otherwise.

Ontario Small Claims Court currently handles civil claims valued up to $50,000.
